The Role of the Non-Executive Director

• Represent shareholders and stakeholders  
• Hold the executive team to account; guide; challenge and to support them
•  Run the Board and Drive a culture of continuous operational improvement
•  Focus on: Strategy; Performance; People and Risk
•  Put measures in place to drive performance, accelerate profitability and sustainable growth
•  The detail is the responsibility of the Chief Executive
•  Encourage debate and better decision making
•  Ensure there are a diverse group of people on the board, different backgrounds and experience
•  Challenge and talk through issues that count, being objective
•  Usually, work 24 days per year split into a couple of days per month
•  Bring perspective and independence
•  Being objective about issues. Big picture stuff. Seeing things that internal executives don’t because they are too close to the day to day
